Company Law

In the legal sense, a company is the association of several individuals in order to achieve a common goal. Austrian law offers various company structures:
GesbR, GmbH, OG, KG, AG, Verein, etc. In addition to legal aspects, there are also economical as well as fiscal aspects to be considered when choosing the right legal structure. This is not only relevant when establishing a new company, but also when it comes to restructuring. The latter is becoming increasingly important in this area of law, as managing a successful business is subject to constant changes and often requires changing the company structure.
In commercial and company law, statutory regulations are predominantly of a dispositive nature.

Therefore, it is of utmost importance to establish provisions regarding the share of the members’ and shareholders’ mutual rights and obligations that are as comprehensive as possible (distribution of profits and losses, dissolution of the company, etc.). We support businesses from legal advice to comprehensive company formations and restructurings.
